La personne retenue participera à des transactions canadiennes et internationales, agira comme conseiller stratégique auprès d'une clientèle d'affaires diversifiée et contribuera à l'encadrement des ressources plus juniors dans un environnement collaboratif axé sur l'excellence.

Responsabilités clés

Participer à des transactions variées de fusions et acquisitions, d'investissement privé, de réorganisations corporatives et d'autres opérations commerciales stratégiques, principalement pour des sociétés privées;
Structurer, coordonner et exécuter les différentes étapes de transactions complexes;
Rédiger, réviser et négocier des conventions d'achat et de vente d'actions ou d'actifs, des lettres d'intention, des conventions entre actionnaires et diverses ententes commerciales;
Agir à titre de conseiller de confiance auprès des clients en les accompagnant dans leurs enjeux juridiques et commerciaux et en mobilisant, au besoin, les expertises appropriées au sein du cabinet;
Assumer un rôle de premier plan dans la gestion et l'exécution des mandats qui lui sont confiés, avec le soutien des associés lorsque requis;
Fournir des conseils en matière de droit corporatif, de gouvernance et d'organisation d'entreprise;
Collaborer avec des équipes multidisciplinaires à travers le Canada et à l'international dans le cadre de mandats transfrontaliers;
Agir comme personne-ressource auprès des membres moins expérimentés de l'équipe en partageant ses connaissances et en contribuant à leur progression technique;
Participer, lorsque pertinent, à des dossiers impliquant des aspects de financement commercial ou de financement d'acquisition.

We are seeking a lawyer with 5 to 7 years of experience to join our Corporate and Commercial Group in Montréal.
The successful candidate will work on Canadian and international transactions, serve as a strategic advisor to a diverse business clientele, and contribute to the development and mentoring of junior professionals in a collaborative, excellence-driven environment.

Key Responsibilities

Participate in a broad range of mergers and acquisitions, private investment transactions, corporate reorganizations, and other strategic business transactions, primarily involving private companies;
Structure, coordinate, and execute the various stages of complex transactions;
Draft, review, and negotiate share and asset purchase agreements, letters of intent, shareholders' agreements, and a variety of commercial agreements;
Act as a trusted advisor to clients by assisting them with legal and business issues and by coordinating the appropriate expertise within the firm when required;
Take a leading role in the management and execution of client mandates, with partner support as needed;
Provide advice on corporate law, corporate governance, and business organization matters;
Collaborate with multidisciplinary teams across Canada and internationally on cross-border mandates;
Serve as a resource person for junior team members by sharing knowledge and contributing to their professional development;
Participate, where applicable, in matters involving commercial financing or acquisition financing.

Qualifications, Skills and Attributes

Member in good standing of the Barreau du Québec;
Between 5 and 7 years of relevant experience, including experience gained in a law firm environment;
Significant experience in mergers and acquisitions (M&A);
Ability to understand clients' broader business objectives while leveraging strong transactional M&A expertise;
Excellent drafting and negotiation skills in both French and English;
Demonstrated ability to manage client relationships and act as a strategic advisor to business clients;
Entrepreneurial mindset, intellectual curiosity, and commitment to continuous learning;
Strong ability to manage multiple matters simultaneously and effectively prioritize work;
Ability to work independently while collaborating effectively with team members;
Sound professional judgment, business acumen, and attention to detail
